DEMERGING ORGANISATIONS: BREAKING UP IS HARD TO DO

Under pressure from disgruntled shareholders, multi-business companies
are increasingly turning to demerger as the means of unlocking value
and increasing focus. ICI/Zeneca, Racal/Vodafone, Pepsico/Pizza Hut,
and Thorn/EMI are among the better known examples.
The process can be complex, traumatic and potentially costly. As the
latter example demonstrated, there are many pitfalls to catch the
unwary, just as there are with mergers. But unlike mergers, until
recently there has been little published advice available on how
to make a success of a demerger.
When the Burton Group demerged Debenhams last year and created Arcadia
from the remaining businesses, they hired William Tate to advise on
organisational aspects and to monitor and capture the management learning.
This has been recently published as a case study in his ground-breaking
book 'Demerging Organisations A Guide to Best Practice'
(Financial Times Management, 1999).
